This contest is intended for the residents of Canada excluding residents of the province of Quebec and will be interpreted according to Canadian law.

Sponsors

1.The “Summer Soar Reading Challenge” (the “Contest”) is sponsored and administered by Rally Reader LLC and prizes (as defined below) are provided courtesy of Indigo Books & Music Inc. (“Prize Provider”).

Prize Description

2.Weekly Prizes. There are ten (10) weekly prizes available to be won each Contest Week for a total of eighty (80) Weekly Prizes available to be won. Each Weekly Prize consists of one (1) $50 Indigo electronic gift card code (each a “Weekly Prize” and collectively the “Weekly Prizes”) to be awarded at the end of each week (as described below). Only Entrants who meet or exceed a total of 125 reading minutes Progress will be eligible for each Weekly Prize draw. The total approximate retail value of all the Weekly Prizes is $4000.00 CAD.

3.Midway Challenge Prizes. There are fifty (50) midway challenge prizes available to be won, each consisting of one (1) pair of two (2) Cineplex movie passes for general admission movie tickets valued at $24.00 CAD per pair (each a “Midway Challenge Prize” and collectively the “Midway Challenge Prizes”) to be awarded at the midway point of the Contest, at the end of the Contest Week 4. Movie passes are subject to the Cineplex terms and conditions of use. The total approximate retail value of all the Midway Challenge Prizes is $1,200.00 CAD.

4.Grand Prizes. There are ten (10) grand prizes available to be won at the close of the Contest Period. Each Grand Prize consists of one (1) $100 Indigo electronic gift card code, (each a “Grand Prize” and collectively the “Grand Prizes”) The total approximate retail value of the Grand Prizes is $1000.00 CAD. Only Entrants who meet or exceed a total of 1000 reading minutes Progress will be eligible for the Grand Prize draw.

Contest Period

5.The Contest begins on July 8, 2024 at 09:00AM Eastern Time (“ET”) and ends at 11:59PM ET on September, 1, 2024 (the “Contest Period”). The Contest Period is comprised of eight (8) separate contest weeks (each, a “Contest Week”) with one midway point draw and a final draw. Set out in the table below are the respective Contest Week entry start date and end date, draw date(s) & time(s) and prize quantity:

Eligibility

6.The Contest is open to legal residents of Canada who, at the time of entry: (i) have reached the legal age of majority in their province/territory of residence excluding Quebec, and (ii) have registered to participate Contest and (iii) who have entered a valid number of their child/children’s reading Progress in minutes to be eligible for each (a) Weekly Prize by logging weekly Progress, and/or (b) the Grand Prize, by logging at total cumulative amount of Progress of or exceeding 1000 minutes during the Contest Period.

7.Rally Reader and Indigo and their respective subsidiaries, affiliates, agents or representatives, advertising and promotion agencies, and their respective officers, directors and employees (collectively, the “Promotion Entities”), and their immediate family members and/or those living in the same household with whom they are domiciled may not enter the Contest. For the purposes of these Official Rules, “immediate family member” means spouse, including common law spouse, father, mother, son, daughter, brother and sister of the entrant, regardless of where they reside.


How to Enter

8.NO PURCHASE NECESSARY. There is one (1) way to enter the Contest:

Online Entry. To enter the Contest during the Contest Period entrants must complete the following:

Step #1 – Visit the Contest website www.summersoar.ca ;
Step #2 – Complete the form to join the challenge! Start Reading!
Step #3 – DON’T FORGET Come back each week to submit your child/children’s weekly reading Progress, OR if you are using the Rally Reader iOS App, visit the site to track their Progress which is uploaded automatically on the leaderboard.


Eligible individuals are automatically entered for the Midway Challenge Prize draw once registered to participate. Entrants must submit a valid number of reading minutes completed by their child/children (the “Progress” for each Contest Week and Grand Prize) to be eligible for that Contest Week’s Prize Draw. Only those Entrants who meet or exceed a total cumulative 1000 minutes of Progress during the Contest Period will be entered automatically into the draw for a chance to win a Grand Prize.

The registration is hereinafter referred to as an “Entry” .

There is no limit to the number of entries, or on the amount of Progress you can submit during any given Contest Week, but, only those who submit a minimum of 125 minutes or more during a Contest Week will be eligible for Weekly Prize, or a cumulative amount 1000 minutes or more Progress are eligible for a chance to win a Grand Prize.

9.By submitting an Entry, each entrant acknowledges that they have read and understood these Official Rules and agree to abide by and be bound by them.

Entry Limitation and Verification

10.You can only win one (1) Weekly Prize per Contest Week, and one (1) Midway Challenge Prize and one (1) Grand Prize during the Contest Period.

11.Reading Progress must be submitted on www.summersoar.ca or tracked automatically by using the Rally Reader App.

12.Sponsor is not responsible for any late, incomplete or misdirected contest Entries.

13.In the event of a dispute as to the identity of the person who submitted an Entry, the email address associated with the post-interaction email shall be deemed to be the entrant. The "authorized account holder" is the natural person assigned for the account associated with the email address. Entrant may be required to provide proof that he/she is the authorized account holder associated with the winning Entry.

14.Entries are subject to verification at any time and may be disqualified if they are late, misdirected, incomplete, illegible, irregular, forged, submitted through illicit or unauthorized means, not original to the entrant, or if they contain any false statements or do not conform to or satisfy any condition of these Official Rules. The use of any device to automate the entry process is prohibited. Proof of transmission (screenshots or captures, etc.) does not constitute proof of delivery. Indigo reserves the right in its sole discretion to disqualify any individual for any reason whatsoever, including any individual who is found to be tampering with the entry process or the operation of the Contest.


15.The sole determinant of time for the purposes of a valid Entry in this Contest will be the Rally Reader information technology systems date and time stamp for the applicable Entry.

Prize Redemption Restrictions and Conditions:

16.Each Winner (defined below) will be responsible for all other expenses that exceed the Prize value as stated above.


17.Each Prize must be accepted as awarded, without any representations, warranties or conditions whatsoever, including whether the Prize is suitable for a particular purpose, and Indigo expressly disclaims any and all such representations, warranties and conditions. The Prize is non-assignable, non-transferable, non-refundable, non-exchangeable and are not convertible to cash. Indigo reserves the right in their sole-4- discretion to substitute the Prize for a prize of equal or greater value (based on the approximate retail value of the Prize, as stated in these Official Rules), including without limitation a cash award, if the Prize cannot be awarded as described herein for any reason. All details and other restrictions of the Prize not specified in these Official Rules will be determined by Indigo in its sole discretion.


18.The Prize(s) are only redeemable where ALL the eligibility criteria, above, are met.

Winner Selection:

19.At 12:00PM ET on each draw date set out in the table in Section 3 above (each, respectively referred to as the “Draw Date”) at Rally Reader’s head office located at 265 Cambridge Avenue #60459, Palo Alto California, 94306, USA, one (1) random draw will be conducted by Rally Reader to select one ten (10) potential winners of the Weekly Prizes ( each a “Selected Entrant”) from all eligible Entries submitted during the applicable completed Contest Week. Odds of winning depend on the total number of eligible Entries received during the applicable Contest Week.

20.At 12:00PM ET on August 5, 2024 as set out in the table in Section 3 above (as a “Draw Date”) at Rally Reader’s head office located at 265 Cambridge Avenue #60459, Palo Alto California, 94306, USA, one (1) random draw will be conducted by Rally Reader to select fifty (50) potential winners of the Midway Challenge Prizes (each a “Selected Entrant”) from all eligible Entries submitted during the Contest Period to date. Odds of winning depend on the total number of eligible Entries received during the applicable Contest Weeks 1-4.


21.At 12:00PM on September 3, 2024 at 12:00PM ET, (“Grand Prize Draw Date”) as set out in the table in Section three (3) at Rally Reader’s head office located at 265 Cambridge Avenue #60459, Palo Alto California, 94306, USA, one (1) random draw will be conducted by Rally Reader to select ten (10) potential winners of the Grand Prizes ( each a “Selected Entrant”) from all eligible Entries meeting or exceeding the 1000 minutes of reading threshold during the Contest Period. Odds of winning depend on the total number of eligible Entries received during the applicable Contest Period.


22.Each Selected Entrant will be contacted on the Draw Date via e-mail at the email address associated with the Entry (the “Notification”).


23.Before being declared the confirmed winner for the respective Draw Date (“Winner”), the Selected Entrant, must within two (2) business days of the Notification: a) Confirm compliance with these Official Rules by signing and returning a Declaration of Eligibility and Liability/Publicity Release (“Declaration and Release”) which: i. releases the Promotion Entities from any liability, losses, damages and expenses which may be suffered or incurred in connection with this Contest or the Prize; and ii. provides acknowledgement and consent to the use, without further consideration, of his/her name, city and province/territory of residence, comments and photographs or other likenesses for publicity and promotion purposes by the Promotion Entities in any and all forms of media and waives all rights (including moral rights) with respect to printed, broadcast and other forms of publicity; and b) Successfully answer, unaided, a mathematical skill-testing question (which may, in the sole and absolute discretion of Indigo, be administered online, by e-mail or other electronic means, by telephone, or in Indigo’s form of Declaration and Release) Indigo may, in its sole discretion, provide an alternative to the mathematic skill-testing question or vary the requirements to perform any skill-testing component of the Contest to accommodate entrants with physical or cognitive disabilities.


24.If a Selected Entrant: (i) does not meet the above requirements, or (ii) is unable to satisfy any of the eligibility requirements set out in these Official Rules, such Selected Entrant will be disqualified from the Contest at the sole discretion of Rally Reader and the Prize will be deemed forfeited by that Selected Entrant and such Selected Entrant shall have no recourse toward Rally Reader or Indigo or any other person or entity involved in the Contest. In the event that no Winner for the Prize is found eligible from the initial draw for that Contest Week, a repeat draw will be conducted from all remaining eligible Entries from the applicable Contest Month in accordance with the process set out above. This process will be repeated until there is a Winner for the Prize. Notwithstanding the foregoing, the Winner must be confirmed by no later than: 5:00PM ET on the last date of the month of the original Draw Date, otherwise the unclaimed Prize(s) will be null and void.


25.Once a Selected Entrant is confirmed to be a Winner, such Winner will be advised by Indigo where and how to redeem the Prize.


26.If a Winner indicates to Rally Reader, or to Indigo that they will not be able to collect their respective Prize, the respective Prize will be deemed forfeited by the Winner and Indigo reserves the right to award the respective Prize to an alternate Winner who has been selected and qualified in accordance with these Official Rules.

Conduct

27.Rally Reader reserves the right, in its sole discretion, to disqualify any entrant it finds to be: (a) violating the Official Rules; (b) tampering or attempting to tamper with the entry process or the operation of the Contest; (c) acting in an unsportsmanlike or disruptive manner, or with the intent to annoy, abuse, threaten or harass any other person; or (d) for any other similar conduct. Any attempt by an entrant or any other individual to undermine the legitimate operation of this Contest may be a violation of criminal and/or civil laws. Should any such attempt be made, Rally Reader reserves the right to seek remedies and damages to the fullest extent permitted by law.

Limitations of Liability

28.The Promotion Entities are not responsible for lost, stolen, late, misdirected, incomplete, illegible, damaged, garbled or irregular entries, or for any entries not received or not processed for any reason, including any technical or human error.


29.The Promotion Entities are not responsible for any errors, omissions, incorrect or inaccurate information in these Official Rules, other Contest-related materials, including without limitation, printing or advertising errors, failure of or problems with any other equipment or programming associated with or used in the Contest howsoever caused. In the event of any discrepancy or inconsistency between the terms and conditions of these Official Rules and disclosures or other statements contained in any Contest-related-6-materials, including but not limited to the Contest entry form, or point of sale, television, print or online advertising, the terms and conditions of these Official Rules shall govern and control. In the event of any discrepancy or inconsistency between the English language version and the French language version of the Official Rules, the English version shall govern and control.


30.The Promotion Entities are not responsible for any: failure of or problems with the Internet; problems or technical malfunction of any telephone network or lines, computer on-line systems, servers, access providers, computer equipment or software; failure, interruption or delay of any entry or e-mail to be transmitted or received or processed, including failure resulting from technical, human or other error or theft; technical problems or traffic congestion on the Internet or at any website or combination thereof, including injury or damage to an entrant's computer or to any other individual's computer related to or resulting from participating in, or downloading any material, regarding the Contest or accepting a prize; the security or privacy of information transmitted via computer networks or for breaches of privacy due to interference by third party computer “hackers” or otherwise; any communication not received due to an entrant’s spam filter, user’s system or internet connection; and late, lost misdirected, or unsuccessful efforts to notify a potential Winner.


31.The Promotion Entities are not responsible if any factor beyond their reasonable control, including weather, event cancellations, strike, lockout or any other labour dispute at their locations or the locations of any other organization or business whose services are used to fulfill this Contest, prevent a Prize or any component of a Prize from being fulfilled. In any such event, a Winner will not be provided with a substitute Prize or a substitute component of a Prize, as applicable, except at Indigo’s sole discretion


32.Under no circumstances will the Promotion Entities be required to award more prizes than what is indicated in these Official Rules or award the Prizes other than in accordance with these Official Rules.


33.The Winner is solely responsible for the reporting and payment of any taxes related to receipt of the Prize.

Protection of Personal Information

34.By entering the Contest, each entrant consents to the collection, storage, use and disclosure of their personal information for the purpose of administering the Contest by Rally Reader and Indigo and for the purposes described in these Official Rules, in accordance with Rally Reader’s privacy policy found at https://www.rallyreader.com/legal/privacy-policy.


35.By entering the Contest, each entrant acknowledges that the Promotion Entities may communicate with entrants via e-mail with respect to communicating the results of the Contest and the awarding of the Prize. No marketing communications will be received by entrants unless entrants provide Rally Reader and/or Indigo with explicit permission to do so.

General

36.This Contest is void where prohibited by law and is subject to all applicable federal, provincial and municipal laws and regulations. The Contest and these Official Rules are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein.


37.Rally Reader reserves the right to modify, suspend, terminate or reinstate the Contest or the Official Rules at any time, without notice, and for any reason. If the Contest is terminated, in whole or in part, before the designated date, Rally Reader reserves the right to select the Winner(s)in a random drawing from all eligible, non-suspect entries received as of the date of the event giving rise to the termination. Inclusion in such drawing shall be each entrant’s sole and exclusive remedy under such circumstances.


38.All Entries become the property of Rally Reader and will not be returned and no correspondence regarding the Contest will be made with or entered into except with the Selected Entrant, and each Winner.


39.Each Winner’s first and last name initial will be publicly available at the Indigo Head Office at 620 King Street West, Suite 400, Toronto, Ontario M5V 1M6 and may be posted on www.summersoar.ca and www.rallyreader.com, www.indigo.ca and other Indigo marketing channels, including its social media channels.


40.All intellectual property, including but not limited to trademarks, trade names, logos, designs, promotional materials, web pages, source code, drawings, illustrations, slogans and representations are owned by Rally Reader and Indigo and their respective affiliates, or used under license from their respective owners. All rights are reserved. Unauthorized copying or use of any copyrighted material or intellectual property without the express written consent of its owner is strictly prohibited.

Acceptance of Terms of Service

This Terms of Service (“TOS”) is a legally binding agreement made by and between Rally Reader, LLC, a Delaware limited liability company, and its affiliates, (“Company”, “we”, “us” and “our”), and you, personally and, if applicable, on behalf of the entity for whom you are using this website (collectively, “you”, “your”, “yours”). Mobile Company may make the Service accessible on certain mobile devices. Please be aware that your carrier’s normal rates and fees, such as text messaging and data fees, may apply. Privacy Policy/Cookie Policy The Service may store and provide to Company data about your interaction with the Service, including without limitation, data related to the content accessed while using the Service. Such information will be used only for the purposes of operating, providing and improving the Service and marketing the Service, but only to the extent such information is aggregated and anonymized. Such information is subject to the terms of Company’s Privacy Policy and Cookie Policy, each of which are incorporated by reference into this TOS.

Electronic Communications By downloading and/or using the Service, you consent to receiving electronic communications and notices from Company. You agree that any notice, agreement, disclosure or other communications that we send to you electronically will satisfy any applicable legal communication requirements, including that such communications be in writing.

Intellectual Property Copyright. All materials on the website and available through the Services, including without limitation, the logos, design, text, graphics, audio clips, video clips, other files, and the selection, arrangement and organization thereof are owned by Company or its licensors. Trademarks. Product names, logos, designs, titles, and words or phrases used on the Service, are owned by Company or its licensors. All page headers, custom graphics, button icons and scripts are trademarks or trade dress of Company or its licensors. If you use such trademarks or logos, you must include appropriate attribution. Notice and Take Down Procedures and Copyright Agent Company respects the intellectual property rights of others and expects its users to do the same. Company may remove content that in its sole discretion appears to infringe the intellectual property rights of others. In addition, Company will, in its discretion, terminate the accounts of users who infringe the intellectual property rights of others. Technical Support Company has no obligation to furnish you with technical support unless separately agreed in writing between you and Company.

International The website and Services are controlled and operated from facilities in the United States. Company makes no claims that the Software may be lawfully accessed, used or downloaded outside of the United States. Any such use of the Software and/or the Materials may not be lawful by certain persons or in certain territories. If you access any of these from outside of the United States, you do so at your own risk and are responsible for compliance with the laws of whatever jurisdiction you are in at the time.

Force Majeure Company will not be liable for failing to perform under this TOS by the occurrence of any event beyond its reasonable control, including, without limitation, a labor disturbance, an Internet outage or interruption of service, a communications outage, failure by a service provider to Company to perform, fire, terrorism, natural disaster or war.

Disputes; Limitations of Actions If any dispute arises regarding this Agreement or the Service, you agree that the dispute will be governed by the laws of the State of California without regard to its conflict of law provisions. You agree to personal jurisdiction and venue in the competent courts in Santa Clara, California. You acknowledge and agree that, regardless of any statute or law to the contrary, any claim or cause of action you may have arising out of, relating to, or connected with your use of the website or Services, must be filed within one calendar year after such claim or cause of action arises, or forever be barred. Notwithstanding the immediately preceding paragraph, you may at any time terminate the Service, in which case this Agreement will still be valid for the subscription time you have already paid for. If your account is terminated, Company may, in its sole discretion, delete any websites, files, graphics or other content or materials relating to your use of the website or Services on servers owned or operated for Company or otherwise in its possession, and Company will have no liability to you or any third party for doing so. Following termination, you will not be permitted to use the website or the Services. If your account or your access to the website or Services is terminated, Company reserves the right to exercise whatever means it deems necessary to prevent unauthorized access to the website or the Services, including, but not limited to, technological barriers, IP mapping and direct contact with your Internet Service Provider (ISP). If your account is terminated, you must immediately pay Company any fees that you owe it.
